These Terms of Service ("Terms") constitute a legally binding agreement between you and Benjamin Ryan ("we," "us," or "our") regarding your use of the Keys, Codes & Modes website (keyscodesandmodes.com) and all related services, features, and content (collectively, the "Service").

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 13 years old to create an account. If you are under 18, you must have parental consent.

4. Subscription Plans and Billing

Free Plan

Access to 3 selected applications at no cost. No payment information required.

Paid Plans

• Student Plan: $15/month or $147/year
• Professional Plan: $39/month or $397/year
• Founder's Circle: $697 one-time payment (lifetime access)

Billing Terms:

• Monthly subscriptions auto-renew on the same day each month
• Annual subscriptions auto-renew yearly unless cancelled
• Founder's Circle is a one-time payment (no renewals)
• All payments processed securely through Stripe
• Prices subject to change with 30 days notice

5. Cancellation and Refunds

Summary:

• 30-day money-back guarantee on all paid plans
• Cancel subscriptions anytime (access continues until period ends)
• No refunds for partial months after 30-day window

6. Intellectual Property Rights

Our Content

All content on the Service, including but not limited to:

• Interactive music theory applications
• Text, graphics, logos, images
• Software code and algorithms
• Educational materials and methodology
• FreeStyle® trademark and branding

Your License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal, non-commercial purposes
• Use the interactive applications for music education

Restrictions

You may NOT:

• Copy, modify, or distribute our content without permission
• Reverse engineer or decompile any software
• Remove copyright or proprietary notices
• Use the Service for commercial purposes without authorization
• Share your account access with others
• Scrape, harvest, or extract data from the Service

7. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service
• Harass, threaten, or harm others
• Spam, phish, or conduct fraudulent activities

8. Disclaimer of Warranties

We disclaim all warranties, express or implied, including but not limited to:

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Benjamin Ryan SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for loss of data, profits, revenue, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless Benjamin Ryan from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

11. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• At our discretion with or without notice

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data
• Outstanding payment obligations remain

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except:

• Small claims court actions (under $10,000)
• Claims for injunctive relief

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

14. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Benjamin Ryan regarding the Service.
